DIN Application/Reactivation

A Director Identification Number (DIN) is a mandatory and unique identification number issued by the Ministry of Corporate Affairs (MCA) to individuals intending to act as directors in Indian companies. It serves as a permanent record of a director’s association with various companies and plays a vital role in maintaining transparency and accountability in corporate governance.

Directors are required to comply with periodic KYC requirements by filing the prescribed DIR-3 KYC form with the MCA. Failure to complete this compliance within the due date results in the DIN being marked as “Deactivated due to Non-filing of DIR-3 KYC.” Once deactivated, the individual cannot act as a director, sign forms, or participate in company filings until the DIN is reactivated.

To restore an inactive DIN, the director must file the pending DIR-3 KYC form and pay the applicable late filing fee, if any. The reactivation process involves proper documentation, digital signature authentication, and professional certification as prescribed under the Companies Act, 2013.

We assist directors with end-to-end DIN reactivation services, ensuring accurate filing, timely submission, and smooth restoration of DIN status so they can resume their corporate responsibilities without delay.

A Director Identification Number (DIN) is a mandatory, unique 8-digit identification number allotted by the Ministry of Corporate Affairs (MCA) to individuals who wish to be appointed as directors or are already serving as directors of a company in India. Introduced under the provisions of the Companies Act, DIN serves as a permanent identifier that tracks a director’s association with one or more companies and ensures transparency and accountability in corporate governance. Once allotted, a DIN remains valid for the lifetime of the individual and does not require renewal, provided all statutory compliances are duly met.

To maintain updated and verified records of directors, the MCA has made it mandatory for DIN holders to submit their KYC (Know Your Customer) details through Form DIR-3 KYC. This is an electronic compliance form prescribed under the Companies (Appointment and Qualification of Directors) Rules, 2014. The form is applicable to individuals who have been allotted a DIN and whose DIN status is “Approved.” The primary objective of DIR-3 KYC filing is to ensure that the personal details of directors—such as their residential address, mobile number, email ID, and other identification particulars—are accurate and up to date in the records of the Registrar of Companies (ROC).

DIR-3 KYC plays a crucial role in maintaining reliable corporate records and preventing misuse of director credentials. Non-compliance with the KYC requirement within the prescribed timeline may lead to deactivation of the DIN, thereby restricting the individual from acting as a director or participating in company filings. Timely submission of DIR-3 KYC therefore ensures uninterrupted directorship status and continued compliance with MCA regulations.

DIR-3 KYC eForm

The DIR-3 KYC eForm is required for directors who are filing their KYC details for the first time after the allotment of their DIN. It must be submitted through the Ministry of Corporate Affairs (MCA) portal. This form is also mandatory in cases where a director needs to update or modify key details such as their mobile number, email ID, or other personal information recorded with the MCA. The eForm requires complete verification, digital signature authentication, and professional certification before submission.

DIR-3 KYC Web

The DIR-3 KYC Web is a simplified online version available to DIN holders who have previously completed their DIR-3 KYC filing and do not have any changes in their KYC details. Accessible through the MCA web service, this version auto-populates the director’s existing information from the MCA database, allowing for quicker and more streamlined compliance. Since the pre-filled details cannot be edited in this mode, it is suitable only when no updates or corrections are required.

To complete the DIR-3 KYC filing for DIN reactivation, the following documents and details must be kept ready to ensure smooth processing and approval:

Digital Signature Certificate (DSC):
A valid Digital Signature Certificate of the director is mandatory for filing the form. The DSC should be active and linked to the individual’s PAN.

PAN Card:
A self-attested copy of the PAN card is required for identity verification. PAN validation is mandatory for Indian nationals.

Proof of Address:
A self-attested copy of address proof such as Aadhaar Card, Voter ID, Driving Licence, Passport, or a recent utility bill (as applicable) must be submitted to confirm residential details.

Photograph:
A recent passport-size photograph is required. For foreign nationals, submission of a self-attested passport photograph is mandatory.

Ensuring that all documents and personal details are accurate and up to date helps avoid rejection and facilitates faster reactivation of the DIN.

Form DIR-3 KYC must be filed within the prescribed due date to ensure that the Director Identification Number (DIN) remains active and compliant. As per the current compliance framework of the Ministry of Corporate Affairs (MCA), directors whose DIN status is “Approved” are required to complete their KYC filing within the notified timeline for the relevant financial year.

For the Financial Year 2024–25, the MCA has extended the due date for filing DIR-3 KYC without payment of a late fee to 31st October 2025. After this date, a statutory late filing fee of ₹500 will be levied for delayed submission. Failure to complete the filing within the prescribed timeline may result in the DIN being marked as “Deactivated due to Non-filing of DIR-3 KYC,” which restricts the individual from acting as a director or participating in company filings until reactivation.

Further, as per the latest amendment effective from 31st March 2026, the DIR-3 KYC requirement will transition from an annual compliance to a once-in-three-years (triennial) filing requirement, thereby reducing the recurring compliance burden on directors. Directors are advised to stay updated with MCA notifications and ensure timely filing to avoid penalties and operational disruptions.
