Public Limited Company

In India, a Public Limited Company (PLC) is a corporate structure designed for large-scale business operations and expansion. It is an ideal choice for entrepreneurs planning substantial growth and seeking access to significant capital.

Unlike private companies, a Public Limited Company can raise funds from the general public by issuing shares, including listing on recognized stock exchanges. This provides access to a broader investor base and enables the company to mobilize large amounts of capital for expansion and development.

A Public Limited Company enjoys the status of a separate legal entity along with the benefit of limited liability, meaning shareholders’ liability is restricted to the amount invested in shares.

Entrepreneurs and aspiring business owners should clearly understand the concept of a Public Limited Company and its registration process in India to fully leverage the advantages and corporate benefits it offers.

A Public Limited Company is a type of corporate entity that allows the general public to acquire ownership through freely transferable shares. These shares are typically traded on recognized stock exchanges, enabling investors, brokers, and traders to buy and sell equity. This structure provides an opportunity for individuals from diverse backgrounds to invest in and become part-owners of the company.

Unlike private companies, Public Limited Companies are subject to stricter regulatory compliance and disclosure requirements. In India, they are primarily governed by the Companies Act, 2013. As per the Act, a Public Limited Company must have a minimum of seven shareholders, and there is no maximum limit on the number of shareholders.

The daily operations of the company are managed by an executive management team. However, ownership is distributed among the shareholders who invest in the company’s shares. Shareholders generally enjoy voting rights, including the right to elect the Board of Directors. The Board, in turn, appoints and oversees the executive team responsible for managing the company’s day-to-day affairs.

Ensuring compliance with the minimum shareholder requirement is essential for the valid incorporation and continued functioning of a Public Limited Company.

Public Limited Companies in India are broadly classified into two categories:

Listed Public Company: A Listed Public Company is one whose shares are officially listed and traded on recognized stock exchanges such as the Bombay Stock Exchange or the National Stock Exchange of India.

Because the shares are publicly traded, investors—including individuals, institutional investors, and financial entities—can freely buy and sell them. This provides; High liquidity, Wider public participation, Greater access to capital, Increased transparency and regulatory oversight.
Listed companies are subject to stringent compliance, disclosure, and corporate governance norms.

Unlisted Public Company: An Unlisted Public Company is not listed on any stock exchange, and its shares are not publicly traded. While it can still have an unlimited number of shareholders, its shares are typically transferred privately.

Compared to listed companies, unlisted public companies; Face relatively fewer regulatory and disclosure requirements, Do not experience daily market trading of shares, Maintain greater operational privacy.

This structure is often preferred by businesses that want the advantages of a public company—such as broader ownership and credibility—without undergoing the complexities and regulatory burden of stock exchange listing.

To successfully incorporate a Public Limited Company in India under the Companies Act, 2013, the following documents are required:

  1. Identity Proof of Shareholders and Directors: Valid identity documents such as; PAN Card (mandatory for Indian nationals), Aadhaar Card, Voter ID, Passport (in case of foreign nationals).
  2. Address Proof of Shareholders and Directors: Any one of the following documents reflecting the current residential address; Aadhaar Card, Driving License, Passport, Bank Statement or Utility Bill (not older than 2 months).
  3. PAN Card Details: PAN details of all directors and shareholders must be provided for statutory and tax registration purposes.
  4. Registered Office Address Proof: Recent utility bill (electricity, water, or gas bill) not older than two months, confirming the registered office address.
  5. Landlord’s Consent (If Premises is Rented): No Objection Certificate (NOC) from the landlord permitting the company to operate from the premises; Rent/Lease Agreement (if applicable).
  6. Digital Signature Certificate (DSC): All proposed directors must obtain a Digital Signature Certificate to digitally sign incorporation documents filed with the Ministry of Corporate Affairs (MCA).
  7. Incorporation Documents: Memorandum of Association (MOA) – Defines the company’s objectives and scope of activities & Articles of Association (AOA) – Outlines internal rules and governance structure of the company.
Registering as a Public Limited Company offers several strategic advantages for businesses aiming for large-scale growth and public investment. Key Benefits of a Public Limited Company:

  1. Easier Access to Capital: Public Limited Companies can raise substantial funds by issuing shares to the general public. This ability significantly enhances capital availability and supports expansion, infrastructure development, and new projects.
  2. Financial Flexibility: With strong regulatory oversight under the Companies Act, 2013 and securities regulations, investors gain confidence in transparency and governance. This enables companies to explore multiple funding avenues, including equity shares, debentures, and public deposits (as permitted by law).
  3. Limited Liability Protection: Shareholders’ liability is limited to the amount unpaid on their shares. In case of financial losses or liabilities, shareholders’ personal assets remain protected.
  4. Greater Growth Opportunities: Access to public funding allows companies to scale operations rapidly. Additionally, public scrutiny and compliance requirements often improve corporate governance, operational efficiency, and accountability.
  5. Flexible Shareholder Structure: A Public Limited Company must have a minimum of 7 shareholders, but there is no maximum limit. This flexibility allows businesses to expand ownership as they grow.
  6. Easy Transferability of Shares: Shares of listed public companies can be freely traded on recognized stock exchanges, such as the National Stock Exchange of India and the Bombay Stock Exchange. This liquidity attracts investors and makes it easier for existing shareholders to exit or reduce their holdings.
