OPC Annual Compliance

A One Person Company (OPC) is a special type of business entity introduced under the Companies Act, 2013, which allows a single individual to establish and operate a private limited company. As per Section 2(62) of the Act, an OPC is a company that has only one member and shareholder. It combines the advantages of sole proprietorship with the benefits of a corporate structure. While it provides complete control to a single owner, an OPC must still comply with various legal and regulatory requirements similar to those applicable to a private limited company.

A One Person Company (OPC), although owned and operated by a single individual, is recognized as a separate legal entity under the Companies Act, 2013 and must comply with certain annual regulatory requirements. These obligations include filing audited financial statements in Form AOC-4 and submitting the annual return in Form MGT-7A with the Ministry of Corporate Affairs (MCA), regardless of the company’s turnover.

In addition, the OPC is required to file its income tax returns on time and, if registered under GST, must comply with the applicable GST return filing requirements. Failure to meet these compliance obligations may result in penalties, disqualification of the director, or even the strike-off of the company from the register of companies.
